Terms of Service

1. Scope of the Service

Shadey offers software connecting to third-party services with user authorization, processing data for analysis, prioritization, summarization, classification, and workflow automation. The platform operates via user-configured permissions and instructions, without providing professional advice.

2. Account Registration and Access

Users maintain credential confidentiality and are responsible for all account activity. All users accessing the service under one account must comply with these terms. Accurate information is required during registration and must be updated promptly.

3. Connected Third-Party Services

3.1 Authorization and Access

By connecting third-party services, you grant Shadey permission to access, receive, process, and store data from those services solely within the scope of permissions you explicitly authorize.

3.2 Third-Party Content

Users warrant they possess legal rights to grant Shadey access to their data. The platform doesn't independently verify ownership or accuracy.

3.3 Third-Party Dependencies

Shadey assumes no responsibility for outages, API changes, data loss, or errors from third-party systems.

4. Authorization to Act on Your Behalf

Users authorize Shadey to perform actions within connected services per configured permissions, including reading, organizing, summarizing, and classifying content.

5. Data Processing and Automated Systems

5.1 Automated Processing

Shadey uses automated systems, including machine learning and rules-based processes, to analyze and transform data to deliver the Service. Outputs may be probabilistic, incomplete, or inaccurate. Users bear responsibility for verifying outputs before relying on them.

5.2 No Default Model Training

The service doesn't train generalized models on customer data by default. Optional personalization is always disabled unless explicitly enabled.

6. Data Security and Confidentiality

Shadey implements reasonable administrative, technical, and organizational protections. No system guarantees absolute security; users remain responsible for appropriate access controls.

7. Customer Obligations

Users may not:

  • Violate applicable laws
  • Process unauthorized data
  • Disrupt the service or infrastructure
  • Reverse engineer or decompile the platform

8. Intellectual Property

Shadey retains ownership of the service, software, and technology. Users retain data ownership and grant a limited license for service delivery.

9. Service Availability and Changes

Shadey may modify, update, suspend, or discontinue all or part of the Service at any time. We do not guarantee uninterrupted availability or error-free operation.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHADEY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

SHADEY SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES. SHADEY'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO SHADEY IN THE TWELVE MONTHS PRECEDING THE CLAIM.

12. Indemnification

Users agree to indemnify Shadey from claims arising from service use, term violations, or unauthorized data access.

13. Termination

Users may terminate anytime. Shadey may suspend or terminate for breaches or legal requirements.

14. Governing Law

These terms operate under California law without regard to conflict principles.
